Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TapeScript website, hosted platform, and self-installed software (collectively, the “Service”), provided by [Legal Entity Name] (“TapeScript,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

TapeScript is a quantitative trading research platform that helps you build, backtest, and validate trading strategies, and — on the Pro plan — automate them through risk controls. It is research and analysis software. It is offered as a hosted plan (Lite) and a self-installed plan (Pro).

2. Not financial advice; trading risk

TapeScript does not provide financial, investment, or trading advice. Nothing produced by the Service is a recommendation to buy or sell any instrument. Trading futures, forex, and other leveraged products carries a substantial risk of loss and is not suitable for every investor. Backtested, simulated, and hypothetical results have inherent limitations and do not guarantee future performance. You are solely responsible for your own trading decisions and outcomes.

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 years old.

4. License

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable license to use the Service. For Pro, your license key unlocks the self-installed software for your own use; you may not resell, sublicense, or redistribute the software, license keys, or any bundled market data.

5. Acceptable use

You agree not to misuse the Service, including by reverse engineering it (except as permitted by law), circumventing licensing or usage controls, redistributing market data, overloading the infrastructure, or using the Service for unlawful purposes.

6. Your content

You retain ownership of the strategies, code, and data you create or upload. You grant us the limited rights needed to operate the hosted Service for you. On Pro, your content and credentials remain on your own server.

7. Market data

Market data provided through the Service is licensed for your internal research use only. You may not export, redistribute, or resell raw market data. Data availability and coverage may change.

8. Subscriptions & billing

Paid plans are billed on a recurring subscription basis through our payment provider (Whop) until cancelled. By subscribing you authorize recurring charges. You can cancel at any time to stop future renewals; access continues until the end of the current billing period. Fees are exclusive of taxes where applicable. See our Refund Policy.

9. Third-party services

The Service integrates with third parties (e.g., payment processing, AI model providers you connect, brokers you configure on Pro). We are not responsible for third-party services, and your use of them is subject to their terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. Provisions that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY STRATEGY WILL BE PROFITABLE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPESCRIPT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM.

13. Indemnification

You agree to indemnify and hold TapeScript harmless from claims arising out of your use of the Service, your content, or your violation of these Terms.

14. Governing law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction.

15. Changes

We may update these Terms; continued use after changes constitutes acceptance. Material changes will be reflected by the effective date above.
